nadicode Service Terms
In effect from October 12, 2026
1. How These Service Terms Work
1.1. These Service Terms set the rules specific to each part of the Service. They form part of the nadicode Terms of Service (the "Terms"), and words defined in the Terms have the same meaning here. For the part of the Service a section governs, that section prevails over the Terms.
1.2. nadicode adds a section here when it offers something new, and changes these Service Terms as clause 17 of the Terms provides.
2. Member Accounts, Subscriptions and Usage
2.1. Each person in Customer's account has their own member account. A member account may hold one subscription at a time, and the subscription comes with an allowance of model usage for each paid period ("Included usage"). The Agents on the computers connected to that member account share its Included usage; there is no allowance pooled across a company. Unused Included usage does not carry over to the next period.
2.2. Beyond Included usage, a member account can use a prepaid balance it buys in the Portal ("Extra usage"). Extra usage does not expire, and remains available after a subscription ends. Model access pauses when a member account has no Included usage and no Extra usage left. Customer can set automatic top-ups, and their limits, in the Portal.
2.3. nadicode may offer a member account trial usage, or other promotional usage, on the conditions the Portal shows when it is offered. Trial usage is offered once per member account.
2.4. The Portal shows, before each purchase, the price, the billing period and the usage each purchase includes, and shows each member account how much of its usage remains.
3. Nadia
3.1. Nadia is software Customer installs on computers it controls. Each installation of Nadia connects to a member account through the Portal.
3.2. Customer Content that Nadia and its Agents keep, including conversations, files, memory and Agent settings, stays on the computer where Nadia runs. It leaves that computer only: (a) in the requests an Agent sends to an AI model to do its work; (b) in the actions an Agent takes through a connected app, which pass through the Portal; (c) in the reports each installation sends to the Portal about its Agents, their settings and the work they did, so that Customer's administrators can see and manage them; and (d) where Customer or its Agents send it somewhere themselves.
3.3. nadicode publishes updates to Nadia, including security updates, and an installed Nadia downloads them from nadicode's update service. Customer keeps the computers, networks and operating systems that run Nadia secure, and keeps Nadia up to date.
3.4. Signing a computer out of the Portal, or rotating a member account's model key, changes that computer's access to the Service. The Portal explains each control and its effect where it is offered.
4. Agents and Their Actions
4.1. An "Action" is anything an Agent does beyond producing Output for a person to read, such as sending a message, changing a file or a record, or using a connected app.
4.2. Nadia has settings that make an Agent ask a person before some Actions. They reduce risk and do not guarantee that an Agent asks before every Action that matters to Customer. An Agent acts on its own within the access it has, and its Actions are Customer's decision. nadicode recommends giving an Agent the access to take an Action that cannot be undone, commits Customer to a third party, moves money or sends content outside Customer's company only where Customer accepts the consequences if that Action is wrong.
4.3. Customer supervises its Agents, stops one that behaves unexpectedly, and tells nadicode without delay about behaviour that suggests a defect or a security issue.
5. AI Models
5.1. Agents use AI models from third-party providers, reached through the model access nadicode provides. nadicode chooses which models and providers are available, and may add, change or retire them to keep the Service working well. The models currently available, and their providers, are listed in the Portal.
5.2. A model provider processes the requests an Agent sends it under the provider's own terms, which govern whether and for how long it keeps them. On request, nadicode sets a member account's model access to use only providers that keep no data from the requests they answer ("zero data retention"). The models available to that member account are then the ones offered on that basis, and services an Agent uses outside the model access, such as web search, are not covered.
5.3. Where a model provider sets conditions on the use of its models, those conditions apply to Customer's use through the Service, as the Acceptable Use Policy provides.
6. Connected Apps
6.1. Customer can connect accounts in third-party apps, such as a mailbox, a calendar or a file store, so that its Agents can use them. By connecting one, Customer confirms that it, or the person whose account it is, may let an Agent use it, and that this use complies with that app's terms.
6.2. Each action an Agent takes through a connected app passes through the Portal, which checks that the Agent may take it. nadicode does not keep the content an action carries. The Privacy Policy describes how account data from Google and Microsoft is handled.
6.3. A connection can be removed at any time in the Portal or in the app itself.
7. Alveare
7.1. Alveare is nadicode's workspace app, in which Customer's people and its Agents work together in shared channels. Customer runs its workspace on a computer it controls, with Alveare Server, and the workspace's messages and files are stored there.
7.2. nadicode does not host Customer's workspace and has no access to its messages or files. Customer keeps the computer that runs Alveare Server secure and decides who joins the workspace.
7.3. nadicode publishes updates to Alveare and Alveare Server, which they download from nadicode's update service.
8. Previews
8.1. A feature nadicode labels as a preview or beta may be incomplete, may change or end without notice, and is provided as it is, as clause 3.3 of the Terms provides.
